Fraud and the available remedies
Mary knowingly lied about Sam's parentage to induce Wanda to transfer property. Wanda reasonably relied and gave her $150,000 and shares then worth $50,000. The false statement was material, and the resulting loss supports fraud. Wanda may undo the fraudulently induced gifts and seek restitution. A completed gift does not become immune from rescission simply because no price was paid, and Wanda received nothing she must return.
A constructive trust restores identifiable property wrongfully obtained or retained when Wanda has the superior equitable entitlement. It follows traceable substitutes and their appreciation. An equitable lien instead secures repayment against specific property. Mary's lack of sufficient assets makes an ordinary damages award potentially inadequate. Although a constructive trust is a remedy rather than an independent tort, the underlying fraud supports the pleaded relief. The court should not dismiss adequately alleged tracing claims merely because Mary changed the property's form.
1. The autographed baseball
Mary's account contained Wanda's $150,000 and Mary's $500 when she paid $1,000 for the baseball. Combining those funds does not prevent tracing. Under the ordinary presumption that a wrongdoer uses her own money first, $500 of the purchase was Mary's and $500 was Wanda's. Wanda can therefore seek a one-half beneficial interest in the baseball, including corresponding appreciation, or a $500 equitable lien. An indivisible object can be sold and its proceeds allocated; physical indivisibility is not a complete defense.
Wanda can alternatively argue that the entire purchase should be attributed to her money, with Mary's original $500 assigned to later dissipated withdrawals. Tracing presumptions protect the victim and should not enable a conscious wrongdoer to preserve investments while allocating losses to the victim. The final allocation depends on the accepted tracing method and evidence, but at least the $500 contribution is established.
Sam gave no value for the baseball. He is an innocent donee, not a protected purchaser for value. Neither innocence nor minority destroys Wanda's proprietary interest in an asset still in his hands. The claim concerning the baseball survives the motion, although Sam is not thereby personally responsible for Mary's fraud.
2. The condominium
The $100,000 down payment came from the same mixed account. Mary's original $500 was either exhausted in buying the baseball or may be allocated to other dissipated withdrawals. The remaining acquisition contribution is therefore traceable to Wanda.
Wanda should seek ownership subject to Bank's mortgage rather than assume that her recovery is necessarily limited to one-quarter of the property's value. Where all nonborrowed purchase money is the claimant's, financing the balance does not itself give the wrongdoer a beneficial ownership share. Wanda can claim the entire equity while leaving the secured debt intact. If the mortgage remains $300,000, the $450,000 condominium has $150,000 net equity, including $50,000 appreciation. Evidence of Mary's own additional acquisition funds could require a proportional allocation instead.
Alternatively, Wanda can request a lien for her $100,000 contribution, ordinarily with interest, but that remedy does not confer the property's appreciation. Bank gave value, and there is no indication it knew of Mary's fraud. Its mortgage therefore remains superior. Wanda cannot take the condominium free of Bank's security. The motion should be denied as to the traceable equity.
3. The stock and prepaid tuition
Before the sale, rescission would permit recovery of the 1,000 shares. After sale, Wanda's proprietary claim followed them into the $100,000 proceeds. A conscious wrongdoer must restore attributable gains, not merely the shares' initial $50,000 value.
Mary no longer possesses the stock or sale proceeds. A good-faith buyer who paid value without notice would take the shares free of Wanda's claim. An innocent school receiving tuition in exchange for educational services generally has a purchaser-for-value defense; the school is also not presently a defendant.
Education already consumed is not an identifiable asset that can be returned. However, payment for four future years may leave refund rights or unconsumed contractual benefits belonging to Mary or Sam. Wanda should investigate those possible substitutes rather than assume all value disappeared when payment occurred. Refundability is not established. Without a surviving traceable benefit, proprietary relief concerning the proceeds fails, but Mary remains personally liable to restore the $100,000 gain. Sam's restitution exposure depends on benefits still retained and any applicable innocent-recipient defense, not simply on being Mary's child.
4. The bank balance and delay
The remaining $35,000 is traceable to Wanda's deposit. No intervening deposit or lower balance is shown, so the entire amount is available for a constructive trust or lien. A demonstrated lower intermediate balance could restrict tracing, and Wanda cannot assume that unrelated later deposits automatically restore previously dissipated money. All recoveries must be coordinated to avoid collecting the same loss twice.
Mary will argue that Wanda knew of the lie in December but waited until June. The holidays explain only a short delay. Nevertheless, delay alone is insufficient: laches requires unreasonable delay and resulting prejudice, and delayed rescission notice defeats relief only if substantially prejudicial. The baseball and condominium purchases preceded Wanda's discovery, so they were not undertaken in reliance on her silence; appreciation alone is not prejudice.
The February tuition payment is Mary's strongest prejudice argument, particularly if irreversible. Wanda can answer that Mary always knew of her own fraud, no reliance on Wanda's silence is established, and prepaid benefits may remain recoverable. A conscious wrongdoer also cannot ordinarily invoke the good-faith change-of-position protection. The complaint can communicate Wanda's election to rescind. Thus, disputed delay does not justify wholesale dismissal; even if some equitable relief ultimately fails, an otherwise timely fraud-damages claim remains available.
