Northwest and the sexual relationship

Arthur's organizational client is Northwest. Cooper does not automatically become an individual client merely because he is an employee. Nevertheless, both California and ABA standards prohibit a lawyer for an organization from beginning a sexual relationship with a constituent who supervises, directs, or regularly consults that lawyer about the organization's legal matters. Cooper frequently seeks Arthur's legal advice. His low position in the company therefore does not remove him from the prohibition.

Their first sexual encounter occurred while Arthur was already Northwest's lawyer. The exception for a consensual relationship predating the representation does not apply. There is also no indication that Cooper is Arthur's spouse or registered domestic partner, which would matter under California's additional exception. Consent to the encounter does not cure the violation, nor must Northwest prove that Arthur actually gave compromised advice. Arthur violated the prohibition under both systems.

The relationship also raises a personal-interest conflict. Arthur must not allow his own interests to materially limit, or create a significant risk of materially limiting, his representation of Northwest. Emotional attachment could compromise his advice if Northwest and Cooper later disagree. However, the question identifies no particular matter in which Arthur's judgment was impaired. This additional conflict should be analyzed as a risk, not assumed as an established violation. Even otherwise sufficient consent to a conflict would not excuse the independent sexual-relations prohibition.

The DUI conviction

A lawyer may be disciplined for criminal conduct reflecting adversely on honesty, trustworthiness, or fitness to practice. A misdemeanor can qualify, but every criminal conviction does not necessarily establish professional unfitness. Arthur drove after drinking, caused an accident, and injured Cooper. Those consequences support an argument that his judgment and regard for others' safety reflect adversely on his fitness. The employment-related setting strengthens the need to examine the incident.

Arthur can respond that this was a single DUI, with only a minor injury and no stated dishonesty, repeated offenses, or misuse of professional authority. A single misdemeanor DUI is not automatically equivalent to dishonest or professionally unfit conduct. The underlying circumstances, rather than the misdemeanor label alone, determine whether this additional misconduct ground is established.

California separately requires written self-reporting of qualifying convictions within thirty days after the lawyer learns of them. A guilty plea is included. The requirement covers felonies and specified misdemeanors, including misconduct committed in practicing law or in a manner making the lawyer's client the victim. It is not a blanket requirement to report every misdemeanor.

The business conference and employer-hosted social function connect the trip with Arthur's work. Nevertheless, driving back from a social gathering is not necessarily practicing law. Nor does Cooper's inclusion in the organizational sexual-relations prohibition itself prove that he was Arthur's individual client. If their consultations created an individual attorney-client relationship, Cooper's injury would support the client-victim ground. If the driving occurred in the course of Arthur's legal practice, that would supply another reporting basis. The facts do not conclusively resolve either predicate or establish that thirty days have elapsed. A reporting violation is therefore conditional, not automatic merely because Arthur told nobody. The ABA standards have no comparable general self-reporting requirement for one's own DUI; reporting another lawyer's serious misconduct is a different duty.

Greencare and the AI-prepared application

Arthur undertook legal work for Greencare, not necessarily for Greta personally. A lawyer must possess the knowledge, skill, preparation, and care reasonably necessary for the engagement. Lack of prior nonprofit experience does not alone prohibit accepting it: Arthur could acquire the necessary learning or obtain competent assistance. Under California's approach, incompetent performance must also involve the required culpability, such as recklessness, repetition, or gross negligence, rather than every isolated mistake.

Arthur instead assured Greta that the work was easy, used an open AI tool, and never verified the output. He needed to distinguish creating the corporation from obtaining tax-exempt recognition, learn the applicable requirements, and review the forms before submission. The rejected application concretely demonstrates defective work. His deliberate omission of review in an unfamiliar area strongly supports reckless or grossly negligent performance under California's standard and a competence violation under the ABA standard.

The same conduct supports a diligence violation: software cannot assume the lawyer's responsibility to prepare and carry out the engagement conscientiously. Arthur must explain the rejection, its consequences, and available corrective measures so Greencare can make informed decisions. No failure to communicate those later developments is expressly stated, however. His initial assurance would additionally be dishonest if he knowingly misrepresented his ability; inexperience alone does not prove dishonesty.

Finally, Arthur must protect confidential client information when using outside technology, including taking reasonable precautions against unauthorized access or disclosure. An open service presents risks, but the question does not identify what he entered or its safeguards. A confidentiality violation therefore depends on improper disclosure or inadequate precautions concerning protected information; using AI alone does not establish it. His employer authorized outside work, and earning money to pay fines is not independently unethical. His clearest violations are the prohibited sexual relationship and the incompetent, inadequately reviewed nonprofit work.

Northwest
