代理Agency
代理关系的成立要件Formation of Agency
代理是一种法律关系,当委托人(Principal)与代理人(Agent)双方同意,由代理人为了委托人的利益(Benefit)并在委托人的控制(Control)下行动,且代理人也同意这样行动时,代理关系即告成立。成立代理关系不需要书面合同,也不需要支付对价。
An agency relationship is created when a principal and an agent manifest assent that the agent shall act on the principal's benefit and subject to the principal's control, and the agent consents so to act. No written contract or consideration is required to form an agency.
甲让乙帮其去超市购买办公用品,并嘱咐乙必须在100美元预算内购买。乙表示同意。此时,由于存在双方的合意、为了甲的利益以及甲对购买范围的控制,甲与乙之间成立了代理关系。
A asks B to buy office supplies for him at the supermarket, instructing B to stay under a 100-dollar budget. B agrees. Here, an agency relationship is formed because there is mutual assent, action for the benefit of A, and control by A over the scope.
雇员与独立合同工的区分Employee versus Independent Contractor
区分代理人是雇员(Employee)还是独立合同工(Independent Contractor)至关重要,因为这直接决定了委托人是否需要承担侵权替代责任。核心衡量标准是委托人是否控制或有权控制代理人工作时的具体工作方式和方法(Manner and Means)。
Distinguishing between an employee and an independent contractor is critical because it determines whether the principal is vicariously liable in tort. The primary test is whether the principal controls or has the right to control the manner and means of the agent's performance.
实际授权:明示与默示Actual Authority: Express and Implied
实际授权(Actual Authority)取决于委托人向代理人传递的信息。基于委托人的言行,如果一个理性的代理人认为自己拥有采取某种行动的权力,则实际授权存在。实际授权分为明示(Express)与默示(Implied)两种。
Actual authority depends on communication between the principal and the agent. It exists if a reasonable agent, based on the principal's words or conduct, would believe they have the authority to act. It can be either express or implied.
明示实际授权是委托人通过口头或书面语言直接赋予代理人的权力。默示实际授权则是指代理人基于履行明示授权所必须的、习惯上的或委托人以往的默认行为,而合情合理地认为自己拥有的附带权力(Incidental Power)。
Express actual authority is directly granted by the principal through oral or written words. Implied actual authority includes incidental powers that the agent reasonably believes they possess based on custom, past practices of acquiescence, or actions necessary to accomplish the express authority.
甲雇佣乙管理其名下的 ABC 生意,明示授权乙‘运营该店’。虽然甲没有明示提及,但乙为了维持经营而雇佣清洁工并支付水电费的行为,属于享有默示实际授权。
A hires B to manage his business, ABC Business, expressly authorizing B to 'run the store.' Although A never explicitly mentions it, B has implied actual authority to hire cleaners and pay utility bills to maintain operations.
表见授权Apparent Authority
表见授权(Apparent Authority)取决于委托人向第三人(Third Party)传递的信息。如果委托人的言行导致一个理性的第三人合理地相信,该代理人拥有代表委托人订立合同的权力,则表见授权成立。仅凭代理人自己宣称拥有权力的言行,不能创设表见授权。若委托人完全隐名,第三人根本不知道委托人存在,因此通常不能成立表见授权;相反,若委托人公开赋予代理人某一职位或角色,该职位通常具有的交易权限可能支持表见授权,即使委托人私下限制了代理人。
Apparent authority depends on manifestations traceable to the principal and received by the third party. It exists when the principal's words, conduct, position, or other manifestations cause a reasonable third party to believe that the agent has authority to bind the principal. The agent's own self-serving representations cannot create apparent authority. If the principal is completely undisclosed, apparent authority usually cannot arise because the third party does not even know the principal exists; by contrast, a publicly assigned title or role may support apparent authority for the usual authority associated with that position despite private limits.

A takes B to meet supplier C and tells C, 'B is my chief purchasing agent.' Later, A privately instructs B not to buy any wine. If B disobeys and orders wine from C on A's behalf, B has apparent authority as to C due to A's statement, making A liable on the contract despite the lack of actual authority.
追认Ratification
如果代理人在订立合同时完全缺乏授权(既无实际授权也无表见授权),委托人事后仍可以通过追认(Ratification)选择受该合同约束。追认赋予该合同与事前获得授权同等的法律效力。
If an agent enters into a contract completely unauthorized (lacking both actual and apparent authority), the principal may still choose to be bound by the contract through ratification. Ratification gives the transaction the same legal effect as if it had been authorized from the beginning.
有效的追认必须满足以下要件:委托人必须对合同的所有实质性事实有充分的了解(Knowledge);委托人必须追认合同的全部内容,不能选择性地只追认有利条款;且追认不能改变第三人在追认前已经取得的合法权利。
For ratification to be effective, the principal must have knowledge of all material facts of the contract; the principal must ratify the entire transaction and cannot selectively adopt only beneficial terms; and ratification cannot alter the intervening rights of third parties.
委托人身份分类与合同责任Disclosed, Partially Disclosed, and Undisclosed Principals
根据第三人在订立合同时对委托人身份的认知,委托人分为三类:显名委托人(Disclosed Principal,第三人知道代理人代表委托人且知道委托人是谁)、部分显名委托人(Partially Disclosed Principal,第三人知道存在委托人,但不知道其具体身份)、以及隐名委托人(Undisclosed Principal,第三人误以为代理人是为自己利益独立行动,完全不知道委托人的存在)。
Based on the third party's knowledge at the time of contracting, principals are classified into three types: disclosed (third party knows the agent acts for a principal and knows the principal's identity); partially disclosed (third party knows a principal exists but not their identity); and undisclosed (third party believes the agent is acting solely on their own behalf and is unaware of any principal).
只要代理人拥有合法授权(实际或表见),委托人通常对第三人承担合同责任。代理人的自身责任取决于委托人的分类:若属于显名委托人,代理人通常不对合同承担个人责任;若属于部分显名或隐名委托人,代理人与委托人都可能对第三人承担合同责任。但在传统普通法下,第三人不能就同一合同获得双重全额赔偿,许多题目会要求第三人在最终判决前选择追究代理人或委托人。
If the agent has proper authority (actual or apparent), the principal is generally liable on the contract. The agent's own liability depends on the disclosure type: if the principal is disclosed, the agent is usually not personally liable; if the principal is partially disclosed or undisclosed, both the agent and the principal may be liable to the third party. Under traditional common law, however, the third party cannot obtain a double full recovery on the same contract, and many exam questions frame this as an election before final judgment between the agent and the principal.

根据雇主替代责任原则(Respondeat Superior),若代理人属于雇员,且其侵权行为发生于雇佣范围(Scope of Employment)之内,则委托人需要承担连带侵权责任。对于独立合同工的侵权行为,委托人通常不承担替代责任,除非该工作属于不可转让的义务(Non-delegable Duty)或具有高度危险性(Inherently Dangerous Activity)。
Under respondeat superior, a principal may face vicarious liability for torts committed by an employee acting within the scope of employment. A principal is generally not vicariously liable for torts committed by an independent contractor, unless the work involves a non-delegable duty or an inherently dangerous activity.
划分雇佣范围时,必须区分绕道(Detour)与擅离职守(Frolic)。绕道是指雇员在执行任务时发生轻微、短暂的偏离,这仍在雇佣范围内,委托人需承担责任;擅离职守则是指雇员彻底偏离了雇主的业务而追求个人目的,超出了雇佣范围,委托人免除替代责任。
In determining the scope of employment, a distinction is made between a detour and a frolic. A detour is a minor, foreseeable deviation from the employer's business, which remains within the scope of employment. A frolic is a major abandonment of the employer's business for personal purposes, which falls outside the scope of employment.

B is a delivery driver for ABC Corporation. While delivering, B drives one block off the regular route to buy coffee and hits pedestrian C. This is a detour, so ABC Corporation faces vicarious liability. If B drives fifty miles away to an amusement park for personal pleasure and hits C, this is a frolic, so ABC Corporation is not vicariously liable.

Independent of vicarious liability, a principal faces direct liability if the principal was personally negligent. This occurs, for example, if the principal hires or retains an agent knowing they are unlicensed or have dangerous propensities (negligent hiring or retention).

An agent owes fiduciary duties to the principal. If an agent breaches these duties, the principal can rescind the transaction, disgorge secrets profits, and seek damages. These duties primarily include:
代理关系的终止与残留表见授权Termination of Authority and Lingering Apparent Authority
代理关系可通过双方行为终止(如任何一方单方撤回同意或通知对方),或依法自动终止(如委托人或代理人死亡、丧失行为能力)。一旦终止,代理人的实际授权(明示和默示)立即消灭。
An agency relationship terminates by acts of the parties (such as unilateral revocation or notification) or by operation of law (such as death or incapacity of either the principal or the agent). Upon termination, the agent's actual authority immediately ceases.

However, the termination of actual authority does not automatically extinguish apparent authority. If a third party previously knew of the agency and has not received proper notice of its termination, the agent may still possess lingering apparent authority. To eliminate this, the principal must give actual notice to third parties who have previously dealt with the agent, and constructive notice to other prospective third parties.

普通合伙企业的成立与合伙人身份认定Formation of General Partnership and Identification of Partners

A general partnership requires no formal filing or state registration to exist. It is formed whenever two or more persons associate to carry on as co-owners a business for profit. The law deems a partnership formed if the parties' conduct meets these criteria, even if they subjectively did not intend to create one.
在认定是否存在合伙关系时,共享生意利润是一项极其重要的推定依据。除非该项利润是以偿还债务、支付工资或租金等例外形式收取的,否则只要收取了利润,法律即推定其为合伙人。
Sharing of profits creates a rebuttable presumption that a person is a partner in the business. This presumption does not arise if the profits were received in payment of a debt, as wages, or as rent, which constitute specific legal exceptions.

A general partnership is a distinct legal entity. Property acquired with partnership funds or in the partnership's name belongs to the entity rather than to the individual partners. Partners have no personal, transferable interest in specific partnership property and may only use it for partnership purposes.

Each partner is an agent of the partnership for the purpose of its business. The creditor can execute against partnership assets and the personal assets of A and B, but cannot reach C's personal assets for this pre-existing debt.

The duty of care restricts partners from engaging in grossly negligent, reckless, intentional misconduct, or knowing violations of law.

Unless otherwise provided in the partnership agreement, each partner has equal rights in the management and conduct of the ordinary business, regardless of capital contribution. 退伙与解散Dissociation versus Dissolution

Dissociation occurs when a specific partner ceases to be associated with the carrying on of the partnership business (e.g., voluntary withdrawal, death, or expulsion). Dissociation does not automatically terminate the entity. Dissolution, however, is the legal event that triggers the winding up and ultimate termination of the partnership business (e.g., notice of withdrawal in a partnership at will, or expiration of a defined term).

Upon dissolution, the partnership must wind up its affairs. Liquidation proceeds are handled in statutory order: first, creditors are paid, including outside creditors and partners who are creditors by reason of loans to the partnership; then liquidation gains and losses are credited or charged to the partners' capital accounts; finally, remaining assets are distributed to partners according to their final positive capital account balances. A partner with a negative capital account generally must contribute the deficiency.

Unlike a general partnership, a limited partnership must file a formal Certificate of Limited Partnership with the state registry to exist. A Limited Liability Partnership is typically utilized by professionals such as lawyers or accountants, and must file a statement of qualification with the state. The primary advantage of an LLP is its liability shield: no partner is vicariously liable for the negligent, wrongful acts, or misconduct committed by other co-partners. However, a partner remains personally liable for their own torts and the torts of anyone acting under their direct supervision.

A corporation is a legal entity distinct from its owners (shareholders) and managers (directors and officers). To form a corporation, articles of incorporation (or a certificate of incorporation) must be filed with the state. The articles must include a unique corporate name (including an indicator like 'Corp.' or 'Inc.'), the maximum number of authorized shares, the names and addresses of incorporators, and registered agent information. Corporate existence begins upon filing by the state.

A promoter is a person who acts on behalf of a corporation before it is formed, such as by raising capital, acquiring assets, or entering into contracts. Promoters are personally liable on pre-incorporation contracts unless the contract provides otherwise. The subsequent formation and adoption of the contract by the corporation does not automatically release the promoter; a novation is required.

If incorporation is defective, parties who acted in good faith without knowing the formation failed may escape personal liability via two common law doctrines: de facto corporation and corporation by estoppel. A de facto corporation requires a valid statute, a good faith attempt to comply, and an actual exercise of corporate powers. Corporation by estoppel bars a third party from denying corporate existence if they treated the entity as a corporation.
